Invacare in its Cooperation Agreement with Azurite Management LLC

On August 22, 2022, Invacare Corporation and its largest shareholder, Azurite Management LLC, announced that they entered into a Cooperation Agreement. Pursuant to the Agreement’s terms, Invacare nominated two new independent directors, Mr. Steven H. Rosen and Ambassador Edward F. Crawford, and agreed to renominate each director at Invacare’s 2023 Annual Meeting, subject to Azurite continuing to meet certain share ownership requirements. The Azurite-affiliated parties will be subject to various standstill and other restrictions.
